Terms of Service

These terms and conditions (the "Agreement") govern the relationship between Lemur Finance, including its subsidiaries, affiliates, agents, and assigns ("Lemur Finance," "our," "we," "Company"), and you ("you," "your") when using services, features, and tools through the website, mobile application, or any other digital platform (collectively, the "Services"). By accessing or using the Services, you acknowledge reading, understanding, and agreeing to be bound by this Agreement. If you disagree, you must stop using the Services immediately.

1. User Agreement

Please carefully review the rules governing website use and read the Privacy Policy regarding provided information. This legal agreement ("Agreement") is between you, individually and/or as an agent on behalf of another registered user ("you"), and Lemur Finance, LLC ("Lemur Finance"), setting forth terms and conditions for Site use. The Site is owned and operated by Lemur Finance and provided expressly subject to this Agreement.

By accessing, browsing, and/or using the Site, you acknowledge reading, understanding, and agreeing to be bound by these terms and complying with all applicable laws and regulations.

Subject to these Terms of Use, Lemur Finance grants you a non-transferable, non-exclusive, non-sublicensable, revocable, limited license to use and access the Services solely for your own personal, noncommercial use.

Subject to compliance with this Agreement, Lemur Finance grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use a copy of the Mobile App on a single mobile device you own or control and to run such copy solely for personal or internal business purposes.

2. Changes to the Agreement

Lemur Finance reserves the right to amend this Agreement at any time. Changes become effective upon posting the updated Agreement on the website or app. Continued use of the Services after changes are posted constitutes acceptance of revised terms. Periodic review of this Agreement is recommended. Significant changes will be highlighted, and notification via email may be provided if contact information was submitted.

3. Credit Card Processing Terms

Lemur Finance provides credit card processing services to facilitate transactions between you and your customers. Using these services means you agree to the following:

Authorization

You authorize Lemur Finance to process transactions on your behalf through the integrated payment platform. You agree to provide accurate transaction details and ensure all activities comply with applicable laws.

Fees

Credit card processing fees, including interchange fees, service fees, and any applicable taxes, will be disclosed at the time of registration and invoiced accordingly. These fees are subject to change with notice and may vary based on transaction volume, card type, and other factors. Failure to remit fees may result in Services suspension.

Settlement Process

Funds from processed transactions will be settled into your designated account within timelines specified in documentation, typically 1-3 business days. Delays may occur due to bank holidays, compliance reviews, or suspected fraudulent activity.

Prohibited Transactions

You may not use the Services for unauthorized or illegal transactions, including fraudulent activity, money laundering, gambling, or sale of prohibited goods and services. Lemur Finance reserves the right to suspend or terminate Services for suspected violations without notice.

Chargebacks and Disputes

You are responsible for managing and resolving chargebacks and disputes with customers. Lemur Finance provides tools and support for dispute resolution but assumes no liability for unresolved chargebacks. Fees associated with chargebacks will be billed to your account.

Compliance

You agree to comply with all applicable laws and industry standards, including PCI DSS, to ensure secure handling of customer payment information. You are responsible for maintaining confidentiality of credentials, ensuring system security, and monitoring for unauthorized access.

4. Limitations of Use

The materials, technologies, and all related content provided on the Site, including text, design, software, photos, images, and other data ("Content"), are owned by Lemur Finance or its licensors and protected under applicable copyright, trademark, and other intellectual property laws. You acknowledge:

• The Content is and shall remain the exclusive property of Lemur Finance and/or its licensors. You may not reproduce, distribute, republish, display, post, or transmit any part of the Content in any form or by any means without prior written consent from Lemur Finance.
• Any attempt to modify, create derivative works of, sell, or transfer any part of the Content without express permission is strictly prohibited.
• The Content may not be mirrored, scraped, or otherwise reproduced on any other platform, including for commercial or non-commercial use, without explicit written consent.
• Reverse engineering, disassembling, or tampering with any part of our Site, Services, or Content is prohibited. Additionally, any data mining or automated data gathering techniques are not permitted.

You agree to use the Site and Services for lawful purposes only. Any unauthorized use, including breaches of security, misuse of access credentials, or violation of applicable laws, may result in termination of access and legal action.

Lemur Finance makes no guarantees regarding Content suitability for use outside the United States. If accessing the Site from outside the U.S., you are solely responsible for ensuring compliance with applicable local laws.

By using this Site, you grant Lemur Finance a fully paid, royalty-free, worldwide, non-exclusive license to use, reproduce, modify, and display any content or data you provide in connection with operating and providing the Services to you and other users. This license is limited to purposes directly related to Services functionality.

5. Trademarks

The trademarks, logos, and service marks (collectively, the "Lemur Finance Trademarks") displayed on this Site are registered and unregistered trademarks owned by Lemur Finance, its affiliates, or third parties. Nothing on this Site shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark displayed on the Site without prior written permission of Lemur Finance or the respective third-party owner.

You may not use, reproduce, modify, display, distribute, or transmit any Lemur Finance Trademarks without explicit authorization. Lemur Finance strictly prohibits using its Trademarks as part of any link to or from another website without prior written consent.

Any misuse of the trademarks displayed on this Site, or any other Content, is strictly prohibited. Questions regarding trademark use or whether a specific logo or mark is a Lemur Finance Trademark should be directed to support@lemurfinance.com.

6. Electronic and Telephone Communication

You consent to having your communications with Lemur Finance and its partners, affiliates, agents, and service providers (collectively, the "Communicating Parties") monitored, recorded, and stored, although this is not an obligation.

You expressly authorize the Communicating Parties to contact you via any phone number provided, using technologies such as autodialers, pre-recorded messages, or text messaging, to deliver updates, notifications, and information related to your current or future applications, accounts, or agreements.

By using the Site or contacting via email, you are communicating electronically and agree to receive communications through email, SMS, or notices posted on the Site. Standard data and messaging rates may apply. You acknowledge these communications meet any legal requirements for written communication to the extent allowed by law.

Lemur Finance reserves the right to email you regarding changes to the Site, updates to Services, or other purposes deemed appropriate and permissible by law.

Links to Third-Party Sites

This Site may include links to external websites owned, operated, or controlled by third parties ("third-party sites"). Lemur Finance has no control over the content, availability, or accuracy of these third-party sites and assumes no responsibility for the information they provide. By accessing these sites, you acknowledge that their terms of use and privacy policies apply, not this Agreement.

Links to third-party sites are provided solely as a convenience and do not imply an endorsement or recommendation by Lemur Finance of the content, products, services, or materials offered on such sites. You access these third-party sites entirely at your own risk. These sites may also have differing privacy practices or security measures, for which Lemur Finance cannot be held accountable.

Lemur Finance disclaims all warranties or representations regarding the reliability, quality, or accuracy of third-party content. No liability is accepted for any damages or issues arising from your interaction with third-party sites. For inquiries related to third-party links, contact support@lemurfinance.com.

7. Credit Pull Consent and Authorization

By registering on the Lemur Finance platform as a borrower, you authorize Lemur Finance, its affiliated financial institutions, and partners ("we," "us," or "our") to obtain your credit report from one or more consumer reporting agencies. This information may be used for purposes permissible under applicable law, including:

1. Verifying your identity.
2. Assessing your credit profile for decision-making purposes.
3. Calculating your debt-to-income ratio.
4. Generating a credit risk assessment or similar score.
5. Obtaining and presenting characteristics of your credit report.

You also authorize Lemur Finance to verify the details in your credit report with third parties and to use your credit report for additional purposes, such as loan servicing or collection efforts. Your credit report may be pulled whenever you submit a loan application or when deemed necessary in connection with the Services.

Additional State Notices for Borrowers

When registering an account with Lemur Finance, you agree to provide true, accurate, and up-to-date information as prompted by the registration form. You are responsible for maintaining the accuracy of this information.

By using the Services, you confirm that:

1. You are at least 18 years old.
2. You are legally eligible to form a binding agreement.
3. You are not prohibited from using the Services under any applicable jurisdiction.

8. Privacy and Data Use

Lemur Finance's practices regarding collection, use, and protection of your information are outlined in the Privacy Policy, which is incorporated into this Agreement by reference. By using the Services, you consent to the data practices described in the Privacy Policy. Lemur Finance is committed to protecting your information and adheres to all applicable data protection laws.

9. Disclaimer of Warranties

The Services and all related content are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Lemur Finance does not guarantee that the Services will meet your expectations or requirements or that the Services will operate without interruption, be error-free, or free of harmful components such as viruses. Any reliance on the Services is at your own risk.

10. Limitation of Liability

Under no circumstances shall Lemur Finance, its affiliates, officers, directors, employees, agents, or licensors (collectively, the "Lemur Finance Parties") be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or related to your use or inability to use the Services, even if advised of the possibility of such damages. This limitation applies to all claims, whether based on warranty, contract, tort, or any other legal theory.

Lemur Finance assumes no responsibility and shall not be held liable for any inaccuracies, delays, errors, or omissions in the Content or for any actions taken in reliance thereon. The Services are offered without guarantees of any kind, and your use of the Services and reliance on any information provided is solely at your own discretion and risk.

If Lemur Finance is found liable under any circumstances, the aggregate liability to you for any and all claims arising from your use of the Services shall not exceed the total fees you have paid to Lemur Finance for the Services during the six (6) months preceding the event giving rise to the liability.

11. Indemnification

You agree to defend, indemnify, and hold harmless Lemur Finance, its affiliates, officers, directors, employees, agents, and service providers (collectively, the "Lemur Finance Entities") from any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising out of or related to:

• Your access to or use of the Services;
• Any content you submit, post, or transmit through the Services;
• Your violation of this Agreement, applicable law, or any third-party rights.

You agree to provide full cooperation in the defense of any claim. Lemur Finance reserves the right to assume exclusive defense and control of any matter subject to indemnification. You may not settle any matter without the prior written consent of Lemur Finance.

12. Dispute Resolution and Arbitration

This Agreement and all aspects of your use of the Site shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of laws principles. You agree to notify Lemur Finance in writing of any claims or disputes concerning or related to the Site or Services and allow a reasonable period to address the matter before initiating legal action.

13. Termination

Lemur Finance reserves the right to terminate or suspend your access to the Services at any time without notice for violations of this Agreement or other lawful reasons. Upon termination, you remain responsible for any outstanding obligations, including fees and chargebacks. Termination does not affect any accrued rights or liabilities.

14. Governing Law

This Agreement shall be governed by the laws of the United States and the state where Lemur Finance is headquartered, without regard to its conflict of laws provisions. Any claims or disputes not subject to arbitration shall be resolved exclusively in the state or federal courts within the same jurisdiction.

Copyright Complaints

If you believe, in good faith, that any materials available on the Site infringe your copyrights, you may submit a notification of claimed copyright infringement to Lemur Finance's designated agent. Your notification must include the following details:

1. An electronic or physical signature of the individual authorized to act on behalf of the owner of the copyrighted material;
2. A description of the copyrighted work you believe has been infringed;
3. A clear description of the location on the Site where the allegedly infringing material is found;
4. A statement by you, made under penalty of perjury, that you have a good faith belief that the disputed use of the material is not authorized by the copyright owner, its agent, or applicable law; and
5. A statement confirming that the information in your notification is accurate and that you are the copyright owner or duly authorized to act on behalf of the copyright owner.

You can submit your copyright infringement notification by emailing the designated agent at support@lemurfinance.com.

Please note that knowingly providing false information in a copyright infringement notification may subject you to legal liability. Ensure your claims are accurate and submitted in good faith.

Acceptance

By using the Services, you acknowledge that you have read, understood, and agree to this Agreement in its entirety. Continued use of the Services constitutes your ongoing acceptance of these terms.
